THE AGREEMENT
The use of this website and services provided by Collaborate Consulting and Management Services (hereinafter referred to as “the Company”) are subject to the following Terms & Conditions. This Agreement governs the use of collaborateafrica.com (the “Website”) and all associated networking, messaging, and listing services (“Services”).
1) DEFINITIONS
“Agreement”: Denotes this Terms and Conditions, the Privacy Policy, and any supplemental documents provided by the Website.
“Membership”: Refers to the paid “Full Membership” or “90-Day Pass” which grants unlimited messaging access.
“Message Credits”: Refers to the individual units granted to users to initiate a new conversation with another user.
“User Content”: Refers to any business ideas, listings, or profiles posted by you.
“We”, “us”, “our” and “The Company”: References to COLLABORATEAFRICA.COM.
“User”, “You” and “your”: The person or entity accessing the Website.
2) ASSENT & ACCEPTANCE
By accessing this Website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please cease use immediately. We reserve the right to modify these terms at any time. Your continued use after changes are posted constitutes acceptance of the updated Terms.
3) SERVICE & REVENUE MODEL
The Company provides a platform to share business ideas and connect with potential co-founders.
The Credit System: All new users receive five (5) free Message Credits. One credit is consumed when you initiate a conversation with a new user.
The Membership: Unlimited messaging is a premium feature available via a paid Full Membership.
Advertising: We may display targeted advertisements or sponsored listings within the Services.
4) AGE RESTRICTION
You must be at least 18 years of age to use this Website. By using this Website, you warrant that you have the legal capacity to enter into binding business agreements.
5) LICENSE TO USE WEBSITE
We grant you a non-exclusive, limited, non-transferable, and revocable license to use the Website materials solely for networking and business collaboration. This license terminates if you violate these Terms or cease using the Service.
6) USE OF SERVICES & CONDUCT
Your use of the Services is at the Company’s discretion. You agree NOT to:
Use the Service to “scrape” data or mass-collect member information.
Bypass the payment system by publicly posting personal contact information (email, phone, or links) in your public business listing for the purpose of avoiding the messaging system.
Harass, impersonate, or misrepresent your professional background or financial standing.
Use the Service to market unrelated third-party goods (e.g., multi-level marketing or insurance).
7) USER CONTENT & VETTING
You are solely responsible for the content you post.
No Vetting: You acknowledge that the Company does not vet the quality, legality, or financial backing of business ideas or users.
Prohibited Content: We will remove content that is defamatory, fraudulent, racist, or contains unsubstantiated financial claims.
8) INTELLECTUAL PROPERTY & CONFIDENTIALITY
Our IP: We own all rights to the Website’s software, branding, and original content.
Your Content: You grant us a license to display your listings to other members.
Idea Protection: IMPORTANT. Sharing a business idea on a public platform involves inherent risks. You acknowledge that the Company is not responsible for any “idea theft” or breach of confidentiality by other users. We strongly recommend using Non-Disclosure Agreements (NDAs) before sharing sensitive proprietary information in private messages.
9) USER OBLIGATIONS & SECURITY
You are responsible for maintaining the security of your login credentials. Providing false information or using the Website for fraudulent business solicitations is grounds for immediate termination without a refund of membership fees.
10) ACCEPTABLE USE
You agree not to use the Website to damage our business reputation or to engage in unlawful gambling, pyramid schemes, or the distribution of malicious software.
11) ASSUMPTION OF RISK (COMMUNICATION ONLY)
The Website is a communication tool only. Information posted on the Website is not intended to be legal, financial, or investment advice. No fiduciary relationship is created between you and the Company. Any partnership you enter into with another user is at your own risk.
12) REVERSE ENGINEERING & SECURITY
You agree not to attempt to decode or reverse engineer the Website’s code or bypass any security or payment gates (including the message credit counter).
13) INDEMNIFICATION
You agree to defend and indemnify us and any of our affiliates and hold us harmless against any legal claims and demands, including reasonable attorney’s fees, which may arise from or relate to your use or misuse of the Website or Services, your breach of this Agreement, or your conduct or actions. You agree that we shall be able to select our own legal counsel and may participate in our defence if we wish.
14) EXCLUSION OF LIABILITY & NO GUARANTEE
- A) You understand and agree that we (i) do not guarantee the accuracy, completeness, validity, or timeliness of information listed by us or any third parties; and (ii) shall not be responsible for any materials posted by us or any third party. We do not perform background checks, verify the identity of users, or validate the professional or financial standing of any party on the platform. You shall use your own judgment, caution, and due diligence in evaluating any prospective partners, methods, or offers.
- B) Further, we shall not be liable for direct, indirect, consequential, or any other form of loss or damage that may be suffered by a user using the collaborateafrica.com Website, including loss of data, loss of financial investment, or any kind of physical loss or damage.
- C) In no event shall The Company, nor its Owner, directors, employees, or affiliates, be accountable for any indirect, incidental, or exemplary costs, including without limitation, loss of proceeds, profit, or goodwill resulting from (i) your use of or failure to access the Service; (ii) any conduct or content of any third party on the Service; or (iii) any partnerships or agreements formed through the Service. Collaborate Africa is a neutral venue for introductions and is not a party to any contracts, equity agreements, or business ventures formed between users.
15) NO PARTNERSHIP OR AGENCY
Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship between you and The Company, or between you and any other user of the Website. You acknowledge that you are an independent party and have no authority to bind The Company to any legal or financial obligation. We are not responsible for the success, failure, or legal structuring of any business venture initiated on the Website.
16) SPAM & DATA SCRAPING POLICY
You are strictly prohibited from using the Website or any of our Services for illegal spam activities. This includes, but is not limited to: gathering email addresses or personal information from member profiles, using “Message Credits” to send mass solicitations, or attempting to bypass the messaging credit system through unauthorized means.
17) THIRD-PARTY LINKS & CONTENT
We may occasionally post links to third-party websites or other services. You agree that we are not responsible for any loss or damage caused because of your use of any third-party services linked to or from Our Website.
18) MODIFICATION & VARIATION
We may, from time to time and at any time without notice to you, modify this Agreement. Modifications or variations will replace any prior version of this Agreement unless prior versions are specifically referred to or incorporated into the latest modification.
19) ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties concerning any use of this Website and supersedes all prior agreements or understandings, written or oral.
20) SERVICE INTERRUPTIONS
We may need to interrupt your access to the Website for maintenance or emergency services. We shall have no liability for any damage or loss caused because of such downtime.
21) TERM, TERMINATION & MEMBERSHIP FEES
- A) We may terminate this Agreement with you at any time for any reason. If your account is terminated due to a violation of these Terms, you forfeit any remaining time or credits.
- B) PAYMENTS & REFUNDS: All payments for “Full Membership” are final and non-refundable. Since the Service provides immediate access to our database, we do not offer pro-rated refunds if you choose to terminate your account before the 90-day period ends.
- C) MESSAGE CREDITS: Free Message Credits have no cash value and cannot be transferred, sold, or redeemed for currency.
22) NO WARRANTIES
You agree that your use of the Website and Services is at your sole risk and that any Services are provided on an “As Is” basis. We expressly disclaim any express or implied warranties of any kind, including implied warranties of fitness for a particular purpose and merchantability.
23) LIMITATION ON LIABILITY
To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to this Agreement shall not exceed the amount actually paid by you to us during the three (3) months prior to the event giving rise to the liability.
24) GENERAL PROVISIONS
JURISDICTION, VENUE & CHOICE OF LAW: The terms herein will be governed by the laws of the Federal Republic of Nigeria. The Courts of Nigeria shall have exclusive jurisdiction over any dispute.
ASSIGNMENT: You may not assign or transfer your rights under this Agreement.
SEVERABILITY: If any part of this Agreement is held invalid, the remaining parts will continue in full force.
NO WAIVER: Failure to enforce any provision does not constitute a waiver of future enforcement.
HEADINGS: Headings are for convenience only and shall not affect the meaning of provisions.
FORCE MAJEURE: We are not liable for failure to perform due to causes beyond our reasonable control, including acts of God, civil unrest, or natural disasters.
ELECTRONIC COMMUNICATIONS: Electronic communications (e-mail) are permitted between both Parties.
